General terms of sale for the VIP Internet Services Website

| 1. |
Any order given by the buyer implies knowledge and acceptation of our terms of sale and our current rates.

| 2. |
To appear on our VIP Services website, the order and the graphic components must be delivered to us at least 3 days prior to posting on the Internet.

| 3. |
An order must :
- Either be followed by a credit transfer of 100% of the order to the banking coordinates being reproduced on the purchase order in the 48 (forty eights) hours which follow
- Or to provide to the commercial 2 bank checks : the first bank check corresponding to 50 (fifty) % of the order which will be deposited immediately, the second bank check corresponding to 50 (fifty) % remaining of the pay of the order which will be collected after the setting online, on the Internet site www.vipservicesinternational.com, of the presentation of the purchaser, at the time of the sending to the purchaser of the corresponding bill.

The subscription of presence on the site is one year duration, date on date, tacitly renewable for one year duration, and is conditioned by the compliance with the rules enacted by charter of quality of www.vipservicesinternational.com.

| 5. |
The cancellation on the initiative of the partner of VIP SERVICES will have to be realized by registered letter with request for notice of receipt, notified, with VIP SERVICES - AUTOMOBILE BPN - Mr J-L. CARACCIOLO - 37 Av. du Général Leclerc - 33600 Pessac - within one month previous the date of the term of subscription.

Cancellation on the initiative of VIP SERVICES under the same conditions as those above mentioned, or constantly in the event of noncompliance with the rules enacted by the charter of quality of www.vipservicesinternational.com. In such a possibility the installment, if it is necessary, will remain with VIP SERVICES.

7. |
Failing to observe the terms of payment, a legal increase will be applicable , as late penalties, as of the shortly after the date of current liability of the payment being reproduced on the bill, equivalent to three times legal interest rate at the day of the current liability of the payment. The penalties are calculated on the amount all inclusive of tax and are exigible without no necessary recall .
If at the time of a preceding order, the customer withdrew himself from his obligations (defect or delay of payment or any of the obligations put at its load) a refusal of execution could be opposite to him , unless it does not provide satisfactory guarantees or a cash payment.

| 8. |
The present general terms, any estimate or contract and, more generally, all the contractual relation between company VIP SERVICES and the partner are subjected to the French law.
In the same way, the contractual language is French; in the case of difficulty of interpretation, the French drafting takes precedence over any other translation. Any disagreement relating to their execution and/or their interpretation will be, in the absence of friendly resolution in the two (2) months of its notification by one of the parts to its contracting by registered letter with request for notice of receipt, subjected by the diligent part to the Bankruptcy court of Bordeaux.
In the case of a lawsuit, the customer commits himself paying at company VIP SERVICES constrained to resort to the covering of his credit the sum of thousand (1.000) euros as allowance. |

For the execution of present or their continuation, the company VIP SERVICES and the partner make election of residence each one in their head office and/or residence indicated in the present one.
The fact for the company VIP SERVICES of not prevailing itself at one given moment of any of the clauses of present, cannot be worth renunciation to be prevailed later on of these same clauses.
